Draft for review: not yet in force.
Welcome to the Visokio agents shop, provided by Visokio Limited ("Visokio", "we", "us" or "our"), hosted at https://agents.visokio.com. At the Shop, AI agents buy passes to use Visokio services. By accessing or using our service, or by letting an agent do so for you, you agree to comply with and be bound by these Terms and Conditions ("Terms"). If you do not agree with these Terms, please do not use the Service, and do not let an agent use it for you.
These Terms govern your use of the Shop and of the services it sells passes for, including any associated applications or tools. The effective date of these Terms is [PLACEHOLDER: effective date]. For any questions, please contact us at agentsupport@visokio.com.
We reserve the right to update these Terms in accordance with section 15. It is the User's responsibility to review notified changes. Continued use after a change validly takes effect constitutes acceptance to the extent permitted by law.
The Service may not be available in all jurisdictions. Users are responsible for ensuring that accessing the Service complies with all local laws and regulations applicable in their jurisdiction. Visokio disclaims all liability for use of the Service in prohibited jurisdictions.
These Terms are provided in English. In the event of a discrepancy between the English version and a translated version of these Terms, the English version shall prevail.
By using the Service, you also agree to comply with any supplemental policies, such as our Privacy Policy and Acceptable Use Policy, which are incorporated into these Terms by reference. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In such cases, "you" refers to the entity represented.
An agent acts for its Operator. Everything an agent does at the Shop is done on behalf of its Operator, who is bound by these Terms as if it had acted itself. An agent cannot accept these Terms in its own right.
These Terms cover passes bought with the x402 protocol, on test networks and, when available, on real payment networks. This is a shared cloud environment for answering questions about data, not dedicated infrastructure or storage. All exclusions, restrictions and indemnities in these Terms are subject to the mandatory-rights provisions in section 11 and the indemnity rules in section 12.
Service: refers to the Shop and the services it sells passes for, including any updates, enhancements or modifications provided by Visokio. The first service is Insight Explorer, which runs on https://omniscope.visokio.com. The Service includes associated tools, applications and support services as defined by these Terms. The Service does not include third-party tools, services or integrations that may be used in conjunction with it, including agents, wallets and blockchain networks.
Shop: the website and interface at https://agents.visokio.com where agents buy and use passes.
Agent: software acting for a person or business, which uses the Service on that person's or business's behalf.
Operator (also "User", "you"): the person or business an agent acts for. Operators are solely responsible for ensuring their own and their agents' use complies with these Terms and all applicable laws and regulations.
Wallet: the blockchain wallet an agent pays from. The Service identifies an agent only by the wallet address it pays from; there is no account.
Pass: the right, bought at the Shop, to use a stated service under a stated Offer for a stated time.
Offer: what a Pass buys (for example, one question to Insight Explorer), its price and how long the Pass is valid, as shown on agents.visokio.com at the time of purchase.
x402: the payment protocol the Shop uses for agents to pay over HTTP.
USDC: the stablecoin in which prices are shown and paid.
Test Network: a blockchain network used for testing, on which no real money changes hands (currently Base Sepolia).
Job Data: the content an agent sends to the Service for a job (for example a CSV file and a question) and what the Service produces from it (the answer, the report and its login). Users retain ownership of their Job Data and are responsible for ensuring its legality and accuracy. Visokio does not access, share or process Job Data except as necessary to provide the Service or as required by law.
Receipt: the private page, linked from each purchase, that shows what was bought and paid and the transaction on the blockchain.
Third-Party Services: any tools, applications or services not provided by Visokio but integrated with or used in conjunction with the Service, including agents, wallets, blockchain networks and the x402 payment facilitator. Visokio is not responsible for the availability, performance or compliance of Third-Party Services.
Force Majeure: any unforeseen event beyond the reasonable control of Visokio, including but not limited to acts of God, pandemics, cyberattacks, ransomware, war, government actions, natural disasters, labour strikes, telecommunications failures, or failures or congestion of blockchain networks.
The Service is available to Operators who are at least 18 years old and have legal capacity to form a binding contract in their jurisdiction. By using the Service, or letting an agent use it for you, you represent and warrant that you meet this eligibility requirement.
It is your responsibility to ensure that your use of the Service complies with all laws and regulations applicable in your jurisdiction. The Service is not available in jurisdictions where its use or access is restricted by law, including but not limited to jurisdictions subject to export controls or sanctions. By using the Service, you represent that you are not located in any such jurisdiction.
If you are accessing or using the Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" and "your" will refer to the entity.
If you do not meet the eligibility criteria or if your use violates applicable laws or these Terms, Visokio reserves the right to refuse or cancel passes without notice or liability.
Visokio shall not be liable for any consequences arising from the use of the Service by individuals or entities who fail to meet these eligibility requirements or misrepresent their eligibility. You agree to indemnify and hold harmless Visokio from any claims, damages or expenses arising from your failure to meet the eligibility requirements or your use of the Service in violation of applicable laws or these Terms.
Users represent and warrant that their use of the Service will comply with all applicable laws, regulations and third-party rights, including but not limited to intellectual property, data protection and export control laws. Users further warrant that they will not use the Service in a manner that would cause Visokio to violate any laws or regulations.
No account or sign-up is needed. Your agent is identified only by the wallet address it pays from, and a Pass is the only credential. You are responsible for authorised activity and for misuse attributable to your failure to take reasonable security precautions. This does not make you responsible for losses caused by Visokio's own breach.
You are responsible for your agent's actions at the Shop and for everything it sends to the Service, as if you had done it yourself. You are responsible for choosing, configuring and supervising your agent, including what it may spend.
You are responsible for securing your agent, its Wallet and keys, its Passes, and the Receipt and report links it gives you. Anyone who holds a valid Pass can use it, and anyone who has a Receipt or report link can open it. Visokio employs commercially reasonable security measures but does not guarantee absolute protection against security breaches.
We are not liable for any unauthorised use of your Wallet, Passes or links due to your failure to secure them. Visokio is not responsible for any losses, damages or consequences resulting from such unauthorised use. You agree to notify us immediately at agentsupport@visokio.com of any suspected unauthorised use or security breach. Failure to notify us promptly may result in limitations on Visokio's liability.
Sharing, reselling or forging Passes is strictly prohibited and may result in cancellation of the Passes concerned without refund.
Visokio reserves the right to refuse payments from, or suspend or restrict the use of Passes bought by, a Wallet if we detect suspicious activities, unauthorised access or potential violations of these Terms. Such actions may be taken without prior notice to ensure the security and integrity of the Service.
You agree to indemnify and hold harmless Visokio from any claims, damages or expenses arising from your agent's actions, or from unauthorised use of your Wallet, Passes or links due to your failure to secure them or promptly notify us of a security breach.
Buying a Pass: your agent buys Passes at the Shop using the x402 protocol, paying in USDC from its Wallet. The price of each Offer is shown on agents.visokio.com (currently 0.50 USDC for one question to Insight Explorer). The price, what the Pass buys and how long it is valid are those shown when your agent buys it. You authorise the payments your agent makes. A Pass is valid for the time stated in the Offer (currently 24 hours) and cannot be used after it expires.
Test Network: payments are currently accepted only on Base Sepolia, a Test Network on which no real money changes hands. Passes bought on a Test Network are for testing the Service. Real payment networks will follow [PLACEHOLDER: when real (mainnet) payment networks go live, and which]; when they do, the networks accepted will be shown on agents.visokio.com.
Payment settlement: a payment is made when it is settled on the blockchain. The x402 payment is checked and settled through MetaMask's x402 payment facilitator, whose applicable terms also apply to its processing. Your agent is responsible for sending the correct amount, in the correct currency, on the correct network, to the correct address. Visokio cannot reverse blockchain transactions.
No refunds: because each Pass is supplied on demand and payments on the blockchain cannot be reversed, payments for Passes are final and non-refundable, including if your agent does not use the Pass before it expires, except where these Terms or applicable law require a refund, cancellation right, price reduction or other remedy. Before a Pass is used, the Service checks everything it can check without cost (for example that the request and the file are acceptable), so that a request which cannot succeed is refused without using the Pass. If a job fails because of a fault on Visokio's side, your agent may try once more with the same Pass. If that further try also fails, the job ends as failed and the payment is not refunded. Incorrect or duplicate payments can be reported to agentsupport@visokio.com and will be investigated and corrected.
Receipts: for each purchase, your agent receives a private link to a Receipt for its person, showing what was bought and paid and the transaction on the blockchain. No VAT or sales tax is charged on Passes: Visokio Limited operates from the British Virgin Islands, which has neither. [PLACEHOLDER: whether the receipt serves as an invoice]
Visokio reserves the right to change prices, Offers and the services available at any time. Changes are shown on agents.visokio.com and apply only to Passes bought after the change. They do not affect Passes already bought.
Users are solely responsible for any network (gas) fees, taxes, duties or currency conversion fees incurred during payment. Visokio disclaims liability for any additional charges or discrepancies imposed by blockchain networks, wallet providers, exchanges or other payment intermediaries.
Users are solely responsible for determining and complying with any tax obligations arising from their use of the Service in their jurisdiction, including VAT, sales tax or other applicable taxes. Visokio disclaims responsibility for determining, collecting or remitting taxes on behalf of users, except where required by law.
Visokio reserves the right to refuse or cancel Passes bought with fraudulent or improperly obtained funds, or in other payment-related misuse.
Disputes: please contact Visokio promptly at agentsupport@visokio.com about payment disputes so we can investigate and correct any error. Give the payment ID or pass ID shown on the Receipt.
Business use only: the Service and its Passes are sold to businesses only, not to consumers. By buying a Pass, you confirm that you, and any person your agent acts for, are acting for the purposes of a trade, business or profession. Anyone who uses the Service as a consumer does so in breach of these Terms and is responsible for that breach.
We grant you a limited, non-exclusive, non-transferable and revocable licence for your agent to access and use the Service for your internal business or personal purposes as permitted by these Terms. This licence does not permit public distribution, sublicensing or commercial resale of the Service or of Passes. The licence is temporary: it lasts only while a valid Pass is held and its use remains authorised under these Terms. Revocation is governed by section 13.
Agents may use the Service through its documented interfaces, within their permissions and the limits in section 8. That is what the Service is for.
You agree not to:
Any violation of the licence terms may result in immediate suspension or termination of your access to the Service. Visokio reserves the right to pursue legal action for unauthorised use, reverse engineering or any activities that harm our intellectual property or Service.
Upon termination, your licence to access and use the Service immediately ceases. Continued use after termination constitutes unauthorised use of Visokio's intellectual property.
You agree to indemnify and hold harmless Visokio for any damages, losses or expenses arising from your breach of this licence, including but not limited to unauthorised use, reverse engineering or tampering with the Service.
All rights not expressly granted to you under these Terms are reserved by Visokio. This includes but is not limited to rights relating to trademarks, patents, copyrights and proprietary information associated with the Service.
Algorithmic and AI Features Disclaimer: the Service uses artificial intelligence (AI), large language models (LLMs) and other automated tools to answer questions about data. These features are designed to support data analysis and insight generation but are not intended to replace professional judgment or human oversight. That is why each answer comes with a report that a person can open to check how it was reached. By using the Service, you acknowledge and agree to the following:
Visokio reserves the right to modify, suspend or discontinue any AI or algorithmic features at its sole discretion and without prior notice, subject to section 9 for Passes already bought. Use of these features is at the User's own risk.
Limitations in AI Training and Outputs
Users acknowledge that AI-powered features may rely on training data and algorithms that can result in unintended inaccuracies or ethical concerns. Visokio disclaims responsibility for errors, omissions or unintended consequences resulting from such limitations. Users agree not to deploy AI outputs, or let their agents act on them, in decision-making contexts where such limitations could result in harm without appropriate validation or oversight.
AI model provider: to produce each answer, the Service sends the question and the data to Visokio's AI model provider (OpenAI) under Visokio's own account. Requests may include the question, field names, selected data and report context as explained in the Privacy Policy. Do not send data that must not be processed by an AI model provider. These provisions supplement the output-validation and AI-risk warnings above.
Ownership of Data: you retain full ownership of the Job Data your agent sends to or receives from the Service. Visokio acts as a data processor for any personal data in Job Data, with you acting as the data controller. As the data controller, you are responsible for determining the purposes and means of processing personal data in compliance with applicable data protection laws. Where you are a processor, Visokio acts as your subprocessor; you must have authority to appoint us. Visokio acts separately as controller for its purchase records, receipts, activity log, security and support processing as described in the Privacy Policy.
Right to upload: you are responsible for having the right to send the Job Data to the Service, and for your agent sending only data you are entitled to send.
We access, share or use Job Data only to provide the Service, carry out your agent's instructions, provide support, protect security or comply with law. Do not send highly sensitive or regulated data, including HIPAA-regulated health information, special-category or criminal-offence data, payment-card details, classified information or core proprietary datasets containing identifiable personal information. Any exception requires prior written approval expressly covering that processing and necessary safeguards; buying a Pass does not provide approval. Use synthetic, properly anonymised or other suitable non-sensitive data.
Data Liability Disclaimer: Visokio implements commercially reasonable measures to safeguard the Service and maintain operational integrity. Visokio's applicable statutory processor duties remain in force. Users are responsible for:
Users agree to indemnify Visokio for third-party claims arising from their or their agents' unlawful uploads, instructions or misuse, subject to section 12. The indemnity does not shift responsibility for Visokio's own breach or negligence to the User.
Data Loss and Security: while Visokio employs commercially reasonable measures to safeguard your data, we do not guarantee against data loss, corruption, unauthorised access or recovery of lost data. Users are encouraged to:
Visokio disclaims all liability for damages arising from data loss, corruption or breaches, except where directly caused by our gross negligence or wilful misconduct. Users agree to indemnify Visokio against any claims or damages related to such incidents caused by their negligence or failure to implement appropriate safeguards.
Responsibility for Data Compliance: you are solely responsible for ensuring that your use of the Service complies with all applicable laws, regulations and cross-border data transfer requirements. This includes obtaining any necessary consents from data subjects and ensuring compliance with local laws regarding data storage, access and transfer. Visokio remains responsible for obligations applicable to its own processing and transfers, as described in the Privacy Policy and the processing terms below.
You agree to comply with all applicable data protection and privacy laws in your jurisdiction, including but not limited to the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA) and any other relevant laws. You agree to indemnify and hold harmless Visokio from any claims, damages or expenses arising from your failure to comply with such laws.
Users acknowledge that the Shop is hosted on Google Cloud, that Insight Explorer's backend computational virtual machines are hosted on Google Cloud Platform in the United States, and that questions and data are sent to OpenAI to produce answers. You must have lawful authority for your processing instructions and transfers. Using the Service is not blanket consent for restricted transfers or consent on behalf of data subjects. Visokio applies the lawful transfer arrangements described in section 9 of the Privacy Policy.
By uploading third-party data, you represent and warrant that you have obtained all necessary consents and rights to process such data and that your use complies with all applicable laws. You agree to indemnify and hold harmless Visokio for any claims or damages resulting from your failure to comply with this obligation.
Aggregated and Anonymised Data: Visokio may use aggregated, anonymised data derived from the Service (for example, numbers of purchases and jobs) for analytics purposes, research and to improve the Service. Aggregated data will not identify you or any individual user and will be used solely in compliance with applicable privacy laws. This permission applies only to information that is genuinely anonymised under applicable law and does not authorise unrelated personal-data processing or training general-purpose AI models on Job Data.
Data Retention and Deletion: Job Data (the uploaded file, the question, the answer, the report and its login) is deleted 24 hours after purchase, consistent with the Privacy Policy. After that, the report can no longer be opened and Visokio does not know what was asked. Earlier deletion may follow your valid request or necessary removal of prohibited content; limited retention may continue only where necessary and lawful. Purchase records, support, security and legally required records follow the retention criteria in the Privacy Policy. Payments recorded on a public blockchain cannot be deleted by Visokio.
Accidental upload: Job Data is deleted automatically 24 hours after purchase. To request earlier deletion, email agentsupport@visokio.com with the subject "URGENT: agents shop data deletion", giving the payment ID or pass ID without resending the dataset. We prioritise containment and active-system deletion without undue delay after proportionate authority checks, subject to the lawful exceptions and backup limitations in the Privacy Policy.
Data Breach Notification: when acting as processor, Visokio will notify the Operator without undue delay after becoming aware of a personal-data breach and provide available information and assistance required by applicable law. Because there is no account, Visokio can do this only where it has a way to contact the Operator. Notifications to regulators and affected individuals are made by the responsible party as required by law.
Regulated or High-Risk Data Disclaimer: the Service is not specifically designed to handle regulated or high-risk data, including but not limited to data governed by laws such as HIPAA, GLBA, ITAR or similar regulations. Users are solely responsible for ensuring compliance with all applicable data protection and privacy laws when uploading or processing sensitive or regulated data. Users must evaluate whether the Service meets their compliance requirements before use. Visokio disclaims all liability for any compliance violations, data breaches or damages arising from the use of regulated or high-risk data within the Service.
Data Portability: your agent receives the answer, and your person can open the report, while the Job Data is kept. Save anything you need before it is deleted 24 hours after purchase. Statutory personal-data access, return or portability rights are not subject to an unlawful fee.
Sharing Receipt and report links: anyone who has a Receipt or report link can open it. Recipients may copy or redistribute what they see. Share links only with the people who need them. Do not send personal information, trade secrets or production credentials to the Service where they could be exposed through a shared link.
For more details, refer to our Privacy Policy at https://agents.visokio.com/privacy.
These terms apply where we process personal data in Job Data on your behalf. The subject matter is answering your agent's questions about the data it sends; activities include receiving, storing, transforming, analysing, sending to our AI model provider, displaying, transmitting and deleting information. Processing lasts until the Job Data is deleted 24 hours after purchase, and as the applicable deletion process requires. Data types are the identifiers, contact, professional and other non-sensitive data you lawfully select; data subjects may include your staff, customers, suppliers and other people represented in those inputs. Sensitive uploads remain restricted above. You determine the permitted purposes and instructions and retain the rights described here.
We process on your documented instructions, given by your agent through the Service, unless applicable law requires otherwise; where legally permitted, we notify you before legally required processing outside those instructions. We inform you if an instruction infringes applicable data-protection law, so far as we can contact you. Authorised personnel are bound by confidentiality. We apply appropriate technical and organisational security measures proportionate to the processing risks.
You generally authorise our engagement of subprocessors for the Service, including Google Cloud Platform for hosting and OpenAI as AI model provider. We provide relevant contracting-entity and processing-location details on request and announce additional or replacement Job Data subprocessors on agents.visokio.com in advance, allowing a reasonable opportunity to object on data-protection grounds by not buying further Passes. We impose required equivalent duties on subprocessors and remain responsible for their performance as required by law. Restricted transfers require the lawful mechanisms described in the Privacy Policy; these Terms do not by themselves execute standard contractual clauses or a UK transfer agreement.
Taking account of the processing and information available to us, we assist with data-subject requests, security, breach notifications, impact assessments and required regulatory consultation. At the end of processing, we delete personal data in line with the 24-hour deletion above, and delete copies unless law requires retention; the published retention schedule is the default deletion instruction, subject to a valid earlier instruction. We make compliance information available and allow and contribute to proportionate audits and inspections by you or your authorised auditor. Reasonable notice, confidentiality and protection of other users may govern arrangements without blocking required rights or regulator access.
Where CCPA/CPRA applies to our role as your service provider or contractor, the specific business purposes are the operations described above. We do not sell or share personal information, use or disclose it outside those purposes or our direct business relationship, or combine it with other sources except as law permits. We provide the required level of protection, assist with applicable consumer requests, notify you if we can no longer meet these obligations and allow reasonable steps to verify, stop or remedy unauthorised processing. We impose required terms on further recipients we engage and certify our understanding of and compliance with these restrictions where required.
You agree not to, and not to let your agent:
Harmful content includes but is not limited to viruses, malware, spam, defamatory materials, hate speech, harassment, or content that infringes on intellectual property rights or violates the privacy of others.
Users may not use the Service to:
Audit Rights: Visokio reserves the right to monitor, investigate and audit activity at the Shop, including purchases and the activity log, to ensure compliance with these Terms and the Acceptable Use Policy. Users are required to cooperate fully during such audits, including providing access to relevant documentation or information reasonably requested by Visokio. Any violations discovered during audits may result in refusal of payments from, or cancellation of Passes held by, the Wallets concerned, as well as legal action if necessary.
Compute limits: Visokio retains sole discretion, subject to applicable law, to queue, throttle, limit, pause or refuse jobs when necessary to protect server stability, security or other users of this shared environment. Limits may cover request rates, file size, memory, concurrency, execution time and output size, and may be published on agents.visokio.com. We may act without advance notice where protection requires it. Where possible, a request is refused before its Pass is used. A Pass does not reserve a dedicated machine or unlimited compute.
We reserve the right to monitor, investigate, suspend, restrict or refuse service to Wallets for any violations of this Acceptable Use Policy, with or without notice. In addition, we may remove any content deemed to be in violation of this policy.
Users are fully responsible for any damages, losses or claims arising from their or their agents' misuse of the Service. You agree to indemnify and hold harmless Visokio from any claims, damages or expenses arising from your or your agent's misuse of the Service, including but not limited to unauthorised activities, content uploads or violations of this policy.
If you become aware of any violations of this Acceptable Use Policy, please report them immediately to agentsupport@visokio.com.
The Service is provided strictly "as is" and "as available". While we strive to ensure uninterrupted availability, Visokio makes no guarantees regarding uptime, performance, response times or issue resolution timelines, including during critical incidents. Users are solely responsible for implementing their own contingency plans to mitigate the impact of any downtime or disruptions to the Service. Visokio disclaims all liability for any losses, damages or disruptions caused by your reliance on the Service for mission-critical operations or failure to implement contingency measures.
Visokio is not liable for downtime or disruptions caused by scheduled maintenance, updates or unforeseen technical issues. Scheduled maintenance periods may occur during which the Service may be unavailable. Visokio will make reasonable efforts to announce maintenance on agents.visokio.com in advance and minimise disruptions.
Disclaimer: we are not liable for interruptions, delays or failures due to factors beyond our control, including but not limited to server outages, blockchain network failures or congestion, cyberattacks or natural disasters. Visokio does not offer refunds or compensation for interruptions, delays or unavailability of the Service, except under the one further try in section 5 or where explicitly required by law.
Visokio reserves the right to modify, add or remove features, Offers or services at its sole discretion. It is the user's responsibility to evaluate the Service's suitability for their needs following such changes. Visokio also reserves the right to modify, suspend or discontinue the Service, subject to section 11 and to the treatment of unused Passes below. Urgent security or legal action may occur without advance notice where permitted.
Force Majeure: Visokio is not liable for any delays, interruptions or failures to perform resulting from circumstances beyond our reasonable control, regardless of their foreseeability, including but not limited to natural disasters, pandemics, cyberattacks, acts of government, disruptions in telecommunications, utilities or blockchain networks, labour strikes or supply chain interruptions.
If the Service, or a service sold at the Shop, is permanently discontinued for reasons unrelated to your breach while a Pass for it is still valid and unused, payments for service not supplied are returned where required by these Terms or law. Charges for service lawfully supplied remain payable.
No Service Level Agreement
The Service is offered without any service level guarantees, including uptime, latency, response times or issue resolution timelines. Visokio expressly disclaims any responsibility for ensuring uninterrupted availability, performance during high-demand periods or immediate resolution of issues. All warranties, express or implied, are excluded to the fullest extent permitted by law. Users are advised to evaluate the Service's suitability for their requirements and plan for potential disruptions.
All intellectual property rights related to the Service, including the Shop, Insight Explorer, Omniscope, trademarks, software and content, belong to Visokio. Unauthorised use of these assets is strictly prohibited.
Users are prohibited from using Visokio's trademarks, logos or branding without prior written consent, except as expressly allowed in marketing materials provided by Visokio. Use of Visokio's trademarks, logos or branding in marketing materials must comply with Visokio's brand guidelines, and such use is subject to prior written approval. Any permissions granted for the use of Visokio's trademarks, logos or branding may be revoked at any time at Visokio's sole discretion.
Users retain ownership of any data or content their agents send or receive using the Service. By sending content, you grant Visokio a limited, non-exclusive and revocable licence to use, store and process your content solely for the purpose of providing the Service. You represent and warrant that all content your agent sends to the Service does not infringe upon the intellectual property rights of any third party. You agree to indemnify and hold harmless Visokio for any claims, damages or expenses arising from your violation of third-party intellectual property rights.
You agree not to reverse-engineer, decompile, disassemble or attempt to derive the source code of any software associated with the Service. This does not restrict activities that mandatory law expressly permits despite this clause.
All rights to modifications, enhancements or derivative works of the Service, whether developed by Visokio or in collaboration with users, remain the exclusive property of Visokio unless otherwise agreed in writing.
Any unauthorised use of our intellectual property may result in immediate suspension or termination of access to the Service. Visokio reserves the right to pursue legal remedies, including but not limited to injunctive relief, monetary damages and recovery of legal fees, for infringement of intellectual property rights. By submitting feedback, suggestions or ideas to Visokio, you agree that any information disclosed will not be treated as confidential or proprietary, and you grant Visokio a perpetual, irrevocable, non-exclusive, royalty-free licence to use, disclose, modify or implement such feedback to improve or enhance the Service without any obligation to you, financial or otherwise. This feedback licence does not convert confidential support attachments or personal information into unrestricted feedback or override applicable privacy duties.
If you believe your intellectual property rights have been infringed by content hosted or displayed through the Service, you may submit a written notice to Visokio's designated agent at agentsupport@visokio.com. Your notice must include:
User Content Compliance
Users are responsible for ensuring that all content their agents send to the Service complies with applicable intellectual property laws, including obtaining necessary rights, licences and permissions from third parties. Visokio disclaims liability for user-uploaded content and reserves the right to remove infringing content at its discretion.
Mandatory exceptions applying throughout these Terms: nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other duty, liability or remedy that cannot lawfully be excluded or limited. Mandatory consumer and data-protection rights remain intact. These Terms do not bind regulators or remove the non-excludable rights of people whose data is processed. For consumers, exclusions do not remove the duty to use reasonable care and skill or liability for foreseeable loss that mandatory law requires us to compensate. All caps and exclusions are subject to applicable fairness and reasonableness rules.
We are not responsible for any loss, corruption or unauthorised access to user data. Visokio disclaims liability for damages arising from the use or unavailability of third-party services, tools or integrations associated with the Service, including agents, wallets and blockchain networks. Visokio is not responsible for regulatory fines, GDPR penalties or other compliance liabilities imposed on Users to the extent caused by their prohibited uploads, unlawful instructions or misuse. This does not remove Visokio's own non-excludable responsibility.
No Guarantees: the Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will meet your expectations or that it will be error-free. Users are encouraged to evaluate the Service and contact us at agentsupport@visokio.com if dissatisfied. While we make no guarantees, we will review your concerns in good faith and may, at our sole discretion, offer remedies.
Liability Exclusions: to the fullest extent permitted by law, Visokio excludes all liability for damages, including but not limited to indirect, incidental, consequential, punitive or special damages, loss of profits, data or business opportunities, arising from:
These exclusions apply even if Visokio has been advised of the possibility of such damages and, to the extent permitted by law, include instances of Visokio's negligence, except where liability for negligence is expressly prohibited by applicable law.
AI and Algorithmic Tools: Visokio specifically disclaims liability for errors, omissions or biases in AI-generated outputs, including any resulting losses or damages. Users are responsible for validating AI outputs independently and assume full risk when using such features for decision-making purposes.
The Service uses artificial intelligence (AI) and algorithmic tools designed to support data analysis and decision-making. By using these features, you acknowledge and agree that:
Compensation: subject to the mandatory exceptions above, Visokio's total aggregate liability for claims arising from use of the Service is limited as follows:
The cap covers all claims relating to that Pass together. A single event affecting several Passes is limited to the total price paid for the Passes affected. Claims not attributable to a particular Pass are limited, where lawful, to the total price paid for Passes bought from the Wallet concerned in the 30 days before the event. Required refunds and non-excludable remedies remain available without double recovery.
Exclusions for Indirect Damages: to the fullest extent permitted by law, Visokio shall not be liable for any indirect, incidental, consequential, punitive or special damages, including but not limited to loss of profits, data or business opportunities.
Force Majeure and Third-Party Failures: Visokio shall not be liable for any damages, losses or interruptions caused by security breaches, cyberattacks, force majeure events, third-party service disruptions, blockchain network failures, technical failures or actions outside of our reasonable control.
User Acknowledgment of Risk: by using the Service, you acknowledge that you assume all risks associated with its use, including but not limited to data loss, system downtime, errors, and the risks of paying with stablecoins over a blockchain. You are solely responsible for evaluating the suitability of the Service for your needs.
Liability for Breach of Terms: Visokio is not liable for any damages, losses or claims arising from your or your agent's breach of these Terms, misuse of the Service or violation of applicable laws.
Indemnity for User Misconduct: you agree to indemnify and hold harmless Visokio from any claims, damages or expenses resulting from your or your agent's misuse of the Service, breach of these Terms or violations of applicable laws.
The User indemnities in this section and elsewhere in these Terms apply to business customers, not consumers, and cover third-party claims and reasonable costs only to the extent caused by the User's (or its agent's) breach, unlawful content or misuse. They do not cover loss caused by Visokio's own breach, negligence or wrongful conduct. Fines or penalties are indemnifiable only where lawful and attributable to the User's conduct. These qualifications govern repeated indemnity wording throughout the Terms.
You agree to indemnify and hold harmless Visokio, its affiliates, officers, directors, employees and agents from any claims, damages, losses, liabilities, costs or expenses (including reasonable legal fees) arising from:
Users further agree to indemnify and cover all reasonable legal fees and expenses incurred by Visokio in relation to claims arising from their misuse of the Service.
As a condition of indemnification, the indemnified party must:
Visokio agrees to indemnify and hold harmless users from any third-party claims, damages or expenses directly arising from Visokio's gross negligence or intentional misconduct in providing the Service. This indemnity does not apply to claims resulting from your breach of these Terms or misuse of the Service.
Visokio's indemnity above does not apply to the extent a claim results from the User's unauthorised or prohibited use. The User indemnities remain available for such misuse, subject to the limits at the start of this section.
We reserve the right to refuse payments from a Wallet, cancel Passes, or suspend or terminate your access to the Service for:
Upon termination, all rights to use Passes are revoked. Job Data is handled under section 7 and deleted 24 hours after purchase, subject to valid earlier deletion instructions and limited lawful retention exceptions.
Termination does not entitle you to a refund. Payments for Passes already used are final. If Visokio terminates access due to your or your agent's violations of these Terms, no refund will be provided for unused Passes. If Visokio stops the Service for operational reasons unrelated to user violations while a Pass is valid and unused, section 9 applies.
Visokio reserves the right to terminate the Service without liability if a force majeure event prevents the continuation of the Service for an extended period.
Upon termination, you must immediately cease all use of the Service and refrain from attempting to access the Service without authorisation.
Termination of your access to the Service does not affect the applicability of provisions intended to survive termination, including but not limited to sections 7 (Data and Privacy), 10 (Intellectual Property), 11 (Limitation of Liability) and 12 (Indemnification).
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
Consumers retain mandatory protections of their country of habitual residence and any non-excludable right to use competent courts. The compulsory arbitration, arbitration-cost and class-action provisions below apply only to business customers to the extent lawful. Consumers may agree to alternative dispute resolution after a dispute arises. Nothing here prevents statutory complaints or urgent protective court relief.
Good-Faith Negotiation: All disputes arising under these Terms shall first be resolved through good-faith negotiation between the parties. Good-faith negotiation requires the exchange of written notices outlining the dispute and meaningful efforts to resolve it amicably. If the dispute cannot be resolved within 30 days of written notice, either party may initiate arbitration.
Arbitration for Unresolved Disputes: For business customers, any dispute that cannot be resolved through negotiation shall be referred to binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA). The seat of arbitration shall be London, England, and the language of the arbitration shall be English.
Costs of Arbitration:
Any arbitration award rendered under this Section shall be final and binding on the parties and may be enforced in any court of competent jurisdiction.
Confidentiality of Proceedings: All arbitration proceedings, including any related materials or communications, shall remain confidential unless disclosure is required by law or necessary to enforce the arbitration award.
Small-Value Disputes: For disputes involving amounts below £5,000 (or its equivalent in local currency), either party may choose to resolve the dispute through an online mediation platform or small claims court, where such platforms or courts are available and legally permissible. This clause is intended to provide a cost-effective and efficient resolution mechanism for minor disputes.
Exceptions to Arbitration: Notwithstanding the foregoing, either party retains the right to seek injunctive or equitable relief in the courts of England and Wales to protect their intellectual property rights, enforce confidentiality obligations, prevent unauthorised use of the Service, and pursue claims in small claims court as provided above.
Notwithstanding the arbitration clause, claims relating to intellectual property infringement, confidentiality breaches, or unauthorised use of the Service may be resolved in courts of competent jurisdiction in England and Wales.
No Class Actions: You agree to resolve disputes with Visokio on an individual basis. To the fullest extent permitted by law, you waive any right to participate in class action lawsuits, class-wide arbitration, or any representative claims on behalf of others.
Force Majeure Extensions: The timelines specified for negotiation or arbitration initiation may be extended by mutual agreement or in the event of force majeure events that prevent compliance.
Opt-Out of Arbitration: Business users in jurisdictions that permit an arbitration opt-out may notify agentsupport@visokio.com within 30 days of first accepting these Terms. Where arbitration cannot lawfully be required, that legal protection applies without an opt-out notice or deadline. The consumer protection above is unaffected.
We may update these Terms from time to time. Because there are no accounts, changes will be announced on agents.visokio.com, and the version and effective date at the top of these Terms will be updated. Continued use of the Service after changes indicates your acceptance of the updated Terms.
The Terms in force when your agent buys a Pass apply to that Pass. A change does not apply to a Pass already bought, unless law requires otherwise. If you do not agree to a change, do not let your agent buy further Passes.
Significant changes include material modifications to how Passes are bought or used, user responsibilities, or the scope of the Service. Examples include changes to payment structures, new user obligations, or updates to acceptable use policies. Significant changes will be announced on agents.visokio.com at least 30 days in advance where reasonably possible.
Visokio reserves the right to make minor changes or clarifications to these Terms, such as updates for legal compliance or to correct typographical errors, without providing advance notice. Unless otherwise stated, changes to these Terms will apply prospectively and will not affect any prior transactions or obligations.
Prices and Offers are not part of these Terms and are changed as described in section 5.
Visokio is not liable for any losses, disruptions or damages resulting from your decision to discontinue use of the Service due to changes in the Terms.
For any questions, concerns or support inquiries about the Service, please contact us via email at agentsupport@visokio.com. This address is for the agents shop and the services sold there; it is separate from Visokio's normal support. Please give the payment ID or pass ID from the Receipt where relevant.
Visokio Limited, company number 1042953; registered office: P.O. Box 3152, Road Town, Tortola, British Virgin Islands.
Support is available on UK working days, UK time, with a first response within 5 working days. There is no service level agreement.
Contacting Visokio does not by itself amend these Terms, but valid contractual notices, statutory cancellations and privacy requests sent through the stated channels remain effective.
Enterprise deployment: if you need dedicated infrastructure, strict EU-only residency or controls supporting SOC 2, ISO 27001 or HIPAA requirements, contact us about an installed instance or a private AWS, Azure or GCP deployment of Omniscope using Docker under your organisation's network and firewall control. Those requirements need an appropriate deployment and agreement; neither payment for this shared service nor private installation alone establishes certification or compliance.
Visokio is not responsible for any third-party services, integrations or content accessed through the Service. Third-party services include, but are not limited to, agents and their providers, wallets, blockchain networks, stablecoin issuers, the x402 payment facilitator, APIs, plug-ins, hosting providers, external tools or software libraries that integrate or interact with the Service.
Your agent, its provider and your wallet provider receive and act on the information you authorise and are responsible for their independent processing under their own terms. This section does not exclude Visokio's responsibility for its own acts or omissions, its contracting-supplier obligations or subprocessors it engages under section 7, including its AI model provider.
Users interact with third-party tools and services at their own risk and must adhere to the terms and policies of those third parties. Users are solely responsible for reviewing, understanding and agreeing to the terms and conditions of any third-party services they choose to use in conjunction with the Service.
Notification of Issues: if you experience service interruptions, performance issues or compatibility problems caused by third-party services, you must notify Visokio promptly at agentsupport@visokio.com. Timely notification allows Visokio to investigate and, where possible, provide guidance or take mitigating actions. Failure to notify Visokio may limit any remedies or support otherwise available.
Compatibility and Updates: Visokio does not warrant or guarantee the compatibility, functionality or performance of any third-party services or integrations used in conjunction with the Service, including any particular agent or wallet. Additionally, Visokio does not provide support or assistance for any issues, errors or failures resulting from the use of third-party services or integrations.
Users are solely responsible for ensuring the compatibility and proper configuration of their agents, wallets and other third-party tools with the Service. Visokio disclaims all liability for performance issues, errors or failures caused by third-party tools or integrations, including those resulting from version mismatches, deprecated APIs, changes made by the third-party provider, or incorrect configuration or improper use of third-party tools by the User.
Visokio shall not be held liable for interruptions, errors or failures caused by third-party services upon which the Service depends, including but not limited to blockchain networks, the x402 payment facilitator, stablecoin issuers, hosting providers or AI model providers. Visokio disclaims all liability for disruptions resulting from changes, discontinuation or failures of these services, including a stablecoin losing its value or a network being halted or changed.
Visokio disclaims all liability for any damages, including loss, corruption or misuse of data resulting from third-party integrations or services. Visokio is not responsible for the data protection, privacy practices or security measures of third-party services or tools that it does not engage. Users are encouraged to review the privacy policies of such third parties before using them in conjunction with the Service.
To the fullest extent permitted by law, Visokio disclaims liability for any indirect, incidental, consequential or special damages arising from the use or interaction with third-party services or integrations.
Users represent and warrant that their access to and use of the Service is not prohibited by export controls or sanctions applicable to them, Visokio or the Service, including applicable UK, EU and US restrictions, and that the Wallet their agent pays from is not owned or controlled by, or used for the benefit of, a sanctioned person.
Users agree to comply with all export control laws and regulations applicable to their use of the Service. Prohibited activities include, but are not limited to, exporting, re-exporting or transferring the Service to individuals, entities or countries subject to sanctions or trade restrictions.
Prohibited Use in Export-Controlled Applications: the Service may not be used for designing, developing or transmitting items, technologies or software subject to export restrictions, including applications in nuclear, chemical or biological weapons programmes or military end-use.
Users are solely responsible for verifying that their use of the Service complies with applicable export control laws and sanctions regulations, including determining whether specific transactions or activities require government authorisation. If required by applicable law, users must obtain any necessary licences or authorisations from the appropriate government agencies before accessing or using the Service.
Visokio reserves the right to refuse payments from, or suspend or terminate the use of Passes bought by, any Wallet without notice if we reasonably believe it is connected with a violation of export control or sanctions laws, and to deal with such payments as the law requires. Visokio disclaims all liability for any damages, penalties or legal actions resulting from your violation of export control or sanctions laws.
Visokio reserves the right to request documentation or certifications from users to verify compliance with export control and sanctions laws.
The Service is new. From time to time, Visokio may offer services, Offers or features as beta or experimental, and passes bought on a Test Network are for testing. Beta features are provided solely for testing and evaluation purposes and may not be suitable for production use.
These features are provided "as-is" without warranties of any kind and may be incomplete, contain errors or differ significantly from final versions. Visokio reserves the right to modify, suspend or discontinue beta features at any time without prior notice.
Visokio does not guarantee the availability of technical support or updates for beta features. Users are encouraged to use beta features only if they are comfortable with potential limitations. Users are solely responsible for keeping copies of any data used with beta features. Visokio disclaims liability for any data loss, corruption, system downtime or errors arising from the use of beta features.
By using beta features, you agree that any feedback, suggestions or reports you provide regarding the features may be used by Visokio to improve the Service without compensation or obligation to you.
Use of beta features is at the User's own risk, and Visokio disclaims all liability for any damages, including but not limited to data loss, system downtime or performance issues, arising from such use.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms shall remain in full force and effect.
To the extent permitted by law, any invalid, illegal, or unenforceable provision shall be replaced or reformed to the minimum extent necessary to render it valid, legal, and enforceable, while closely reflecting the original intent of the parties. If such modification is not possible, the provision shall be severed entirely, and the remaining Terms shall continue to govern the rights and obligations of the parties.
The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provisions, which shall remain binding and enforceable to the fullest extent permitted by law.
Provisions governing limitation of liability, indemnification and governing law are important to this agreement. If any such provision is unenforceable, it is dealt with under the severability rules above; this does not displace mandatory statutory rights.
Failure or delay by Visokio to enforce any provision of these Terms or exercise any rights under these Terms shall not constitute a waiver of that provision, right, or any other provisions of these Terms.
Repeated failure or delay by Visokio to enforce any provision or exercise any right under these Terms shall not be construed as a waiver of that provision, right, or any other provisions of these Terms. A waiver of any single provision or breach of these Terms does not constitute a waiver of any other provisions or subsequent breaches.
Any waiver will only be effective if expressly made in writing by an authorised representative of Visokio. Verbal or implied waivers are not valid. Changes to these Terms follow section 15 or an express written agreement between the parties.
Users remain obligated to comply with all provisions of these Terms, regardless of any delay or failure by Visokio to enforce such provisions.
The following provisions shall survive the termination or expiration of these Terms:
These provisions are essential to the enforcement of rights and obligations arising under these Terms and shall remain in effect regardless of the termination or expiration of the Service. The surviving provisions shall remain binding and enforceable on both parties to the fullest extent permitted by law.
In addition to the sections listed above, any provisions which by their nature should reasonably survive termination or expiration shall remain in effect.
Visokio reserves the right to assign or transfer its rights and obligations under these Terms, in whole or in part, to any affiliate or successor without prior notice to you. Users may not assign or transfer their rights or obligations under these Terms without Visokio's prior written consent. An assignment does not reduce your mandatory rights; we will provide any notice required by law.
These Terms are provided in English. In the event of a discrepancy between the English version and any translated version, the English version shall prevail.
These Terms constitute the entire agreement between you and Visokio concerning your use of the Service and supersede any prior or contemporaneous agreements, communications, or proposals, whether oral or written, related to the Service. Any additional terms provided in supplemental policies, such as the Privacy Policy, are incorporated by reference.
